Sapience AI Chrome Extension

Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “user”) and Sapience AI Corporation, a Delaware corporation (“Sapience AI,” “we,” “our,” or “us”), governing your access to and use of the Sapience AI Chrome Extension (the “Extension”).

By installing, accessing, or using the Extension, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Chrome Extension Privacy Policy (available at https://www.sapienceai.co/terms-of-service), which is incorporated herein by reference. If you do not agree to these Terms, do not install or use the Extension.

If you are installing or using the Extension on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.

Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Extension. By using the Extension, you represent and warrant that you meet this age requirement.

The Extension is not intended for use by children under the age of 13 (United States) or under the age of 16 (EU/EEA). We do not knowingly collect personal information from children, as further described in our Privacy Policy.

Description of the Extension

The Extension provides contextual peer-connection suggestions by analyzing limited browsing context on supported websites. Specifically, the Extension:

Extracts search queries from supported search engines and converts them into encrypted vector representations for similarity matching.
After a trigger threshold, extracts content from supported AI platforms and converts it into encrypted vector representations.
Detects form engagement on websites and monitors completion status (without capturing form input data) to trigger contextual suggestions.
Offers an optional waitlist feature for users who choose to provide their email address.

The Extension is currently in a pre-release or early-access phase. Features, functionality, and availability may change without notice as we continue to develop the product.

User Conduct

You agree to use the Extension only for its intended purpose and in compliance with all applicable laws and regulations. You agree not to:

Use the Extension for any unlawful, fraudulent, or malicious purpose.
Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Extension, except to the extent expressly permitted by applicable law.
Interfere with, disrupt, or attempt to gain unauthorized access to any servers, networks, or systems connected to the Extension.
Use the Extension to harvest, scrape, or collect data from other users or third-party websites beyond the Extension’s intended functionality.
Use automated means (bots, scripts, or similar tools) to interact with the Extension in a manner not intended by Sapience AI.
Remove, alter, or obscure any proprietary notices, labels, or marks on or within the Extension.
Use the Extension in any manner that could damage, disable, overburden, or impair Sapience AI’s systems or interfere with any other party’s use of the Extension.
Sublicense, lease, sell, resell, or otherwise distribute the Extension or access to the Extension to any third party.

Intellectual Property

Sapience AI Ownership

The Extension, including all software, code, algorithms, AI models, vector representations, user interfaces, designs, logos, trademarks, and documentation, is and remains the exclusive property of Sapience AI Corporation or its licensors. These Terms do not grant you any ownership interest in the Extension or any of its components.

Limited License

Subject to your compliance with these Terms, Sapience AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Extension on Google Chrome solely for your personal or internal business purposes. This license does not include the right to modify, adapt, translate, create derivative works of, or distribute the Extension.

Your Data

You retain ownership of any personal data you provide to the Extension. Our collection, use, and handling of your data is governed by our Chrome Extension Privacy Policy. By using the Extension, you grant Sapience AI a limited, non-exclusive license to process your data as described in the Privacy Policy for the purpose of providing and improving the Extension’s services.

Feedback

If you provide Sapience AI with feedback, suggestions, or ideas regarding the Extension (“Feedback”), you grant Sapience AI a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without obligation to you.

Third-Party Services and Websites

The Extension operates on third-party websites (including search engines, AI platforms, and other sites with web forms). Sapience AI is not affiliated with, endorsed by, or responsible for any third-party website on which the Extension operates.

Your use of third-party websites is governed by those websites’ own terms of service and privacy policies. Sapience AI makes no representation or warranty regarding third-party services and is not liable for any loss or damage arising from your use of third-party websites, whether or not the Extension is active.

Availability, Updates, and Modifications

Availability

Sapience AI does not guarantee that the Extension will be available at all times or that it will function without interruption, errors, or defects. We may suspend or discontinue the Extension (or any feature thereof) at any time, with or without notice, and without liability to you.

Updates

The Extension may be updated automatically through the Chrome Web Store. By using the Extension, you consent to receiving such automatic updates. Updated versions may be subject to additional or different terms, which we will make available to you.

Modifications to Terms

Sapience AI reserves the right to modify these Terms at any time. When we make material changes:

We will update the “Effective Date” at the top of these Terms.
For changes that materially reduce your rights, we will provide at least 30 days’ advance notice via the Extension, email (if you have provided an email address), or the Chrome Web Store listing.
Your continued use of the Extension after the effective date of any modification constitutes your acceptance of the modified Terms.
If you do not agree to the modified Terms, your sole remedy is to uninstall the Extension.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE EXTENSION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Sapience AI does not warrant that:

The Extension will meet your requirements or expectations.
The Extension will be uninterrupted, timely, secure, or error-free.
Peer-connection suggestions or other outputs will be accurate, complete, reliable, or suitable for any particular purpose.
Any defects in the Extension will be corrected.
The Extension will be compatible with all versions of Google Chrome or all operating systems.

The Extension’s peer-connection suggestions are informational only and do not constitute professional advice, endorsements, or recommendations. You are solely responsible for evaluating and acting upon any suggestions provided by the Extension.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAPIENCE AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE EXTENSION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF SAPIENCE AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAPIENCE AI’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE EXTENSION SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO SAPIENCE AI FOR USE OF THE EXTENSION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

Exceptions

Nothing in this Section limits Sapience AI’s liability for:

Death or personal injury caused by Sapience AI’s negligence.
Fraud or fraudulent misrepresentation.
Gross negligence or willful misconduct.
Any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Sapience AI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your use of the Extension in violation of these Terms.
Your violation of any applicable law, regulation, or third-party right.
Any content or data you provide through the Extension.
Your negligence or willful misconduct.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Extension shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (“AAA”). The arbitration shall be conducted in King County, Washington, before a single arbitrator. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims involving intellectual property infringement, violation of confidentiality obligations, or unauthorized access to systems.

Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SAPIENCE AI EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Informal Resolution

Before initiating arbitration, you agree to first contact us at legal@sapienceai.co and attempt to resolve the dispute informally for at least 30 days. If the dispute is not resolved within that period, either party may proceed with arbitration.

EU and UK Users

If you are located in the European Union or the United Kingdom, nothing in this Section affects your statutory rights under applicable consumer protection or data protection law, including your right to bring claims in your local courts or to lodge a complaint with a supervisory authority.

Termination

Termination by You

You may terminate these Terms at any time by uninstalling the Extension from your browser. Uninstalling the Extension removes all locally stored data. To request deletion of data stored on Sapience AI’s servers, contact dataprivacy@sapienceai.co.

Termination by Sapience AI

Sapience AI may suspend or terminate your access to the Extension at any time, with or without cause, and with or without notice. Without limiting the foregoing, we may terminate your access if we reasonably believe that:

You have violated these Terms.
Your use of the Extension poses a security risk or may cause harm to Sapience AI, other users, or third parties.
We are required to do so by law or legal process.
We discontinue the Extension or any material feature thereof.

Effect of Termination

Upon termination for any reason:

Your license to use the Extension immediately terminates.
You must uninstall the Extension if you have not already done so.
Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution), 12.3 (Effect of Termination), and 15 (General Provisions) shall survive termination.

Export Compliance

The Extension may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer the Extension in violation of any applicable export control laws, including to any country or person subject to U.S. sanctions or embargoes.

U.S. Government Users

If you are a U.S. government end user, the Extension is provided as a “commercial item” as defined in 48 C.F.R. §2.101, consisting of “commercial computer software” and “commercial computer software documentation,” as those terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. The Extension is licensed to U.S. government end users only with the rights granted to all other end users under these Terms.

General Provisions

Entire Agreement

These Terms, together with the Chrome Extension Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Sapience AI regarding the Extension and supersede all prior or contemporaneous agreements, communications, or understandings, whether oral or written.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall continue in full force and effect.

Waiver

The failure of Sapience AI to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Sapience AI.

Assignment

You may not assign or transfer these Terms or your rights hereunder without Sapience AI’s prior written consent. Sapience AI may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, upon notice to you.

Notices

Sapience AI may provide notices to you through the Extension, via email (if you have provided an email address), through the Chrome Web Store listing, or by posting updates at sapienceai.co. You may provide notices to Sapience AI at the contact information listed in Section 16.

Force Majeure

Sapience AI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, power failures, internet or telecommunications failures, or third-party service provider outages.

Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Sapience AI. You have no authority to bind Sapience AI or make commitments on its behalf.
